This Addendum supplements the Knetc Terms of Service (the “Main Terms”) and applies to any feature of the Service that performs autonomous or agent-driven actions on your behalf, including but not limited to: Alex’s desktop-use capability, agent execution against third-party platforms, KnetcForge workflows, and Boardroom multi-agent execution (collectively, “Agentic Actions”). To the extent any provision of this Addendum conflicts with the Main Terms with respect to Agentic Actions, this Addendum controls. All other provisions of the Main Terms remain in full force and effect.

Limited Agency — Scope and Disclaimer

When you instruct Knetc to perform an Agentic Action, you authorize Knetc and its AI agents (including Alex, Jeremy, Kai, Dana, Maya, Marcus, and any KnetcForge workflow you initiate) to act on your express instruction within the scope of that instruction. This authorization is a limited, revocable, task-specific authorization — not a general agency or fiduciary appointment.

KNETC IS NOT YOUR AGENT, FIDUCIARY, ATTORNEY, ACCOUNTANT, OR ADVISOR. KNETC IS A SOFTWARE TOOL OPERATOR. AI AGENTS ARE AUTOMATED SOFTWARE — NOT EMPLOYEES OR REPRESENTATIVES OF YOU OR KNETC.

  • Each Agentic Action is performed strictly within the scope of the instruction you provide and is bounded by the Service’s technical limits (including step caps, time caps, and platform exclusions).
  • You are solely responsible for the contents, accuracy, and lawfulness of the instructions you give to Agentic Actions.
  • AI agents may misinterpret instructions, take incorrect actions, or fail to complete tasks. You assume all risk that an Agentic Action will not perform as intended.
  • Knetc does not undertake to verify, supervise, or correct the substantive outcomes of Agentic Actions. Review of all outputs is your responsibility before acting on them externally.

Third-Party Platform Access — Your Responsibility

Agentic Actions may interact with third-party platforms, websites, services, or applications (“Third-Party Platforms”) at your direction. You acknowledge and agree:

  • Many Third-Party Platforms prohibit automated access, scraping, or programmatic interaction in their terms of service. Examples include but are not limited to social media platforms, search engines, employment platforms, and CRM systems.
  • You represent and warrant that you have the right to authorize automated access to any Third-Party Platform you instruct an Agentic Action to use, including but not limited to compliance with that platform’s terms of service, robots.txt, rate limits, and any contractual or technical access restrictions.
  • You are solely responsible for any consequence of accessing a Third-Party Platform via Agentic Actions, including but not limited to: account suspension or termination by the Third-Party Platform; civil liability; claims under the Computer Fraud and Abuse Act (CFAA), 18 U.S.C. § 1030, or analogous state and foreign laws; and contractual or tortious claims by Third-Party Platforms or their users.
  • Knetc disclaims all liability for any Agentic Action you instruct that violates a Third-Party Platform’s terms of service, applicable law, or any third party’s rights.
  • Knetc reserves the right to refuse, suspend, or terminate Agentic Actions targeting platforms Knetc reasonably believes pose elevated risk, including a maintained list of Excluded Platforms (Section A4).

Recommended practice: If you intend to instruct an Agentic Action to interact with a Third-Party Platform, use that platform’s official API and provide Knetc with valid OAuth credentials or API keys you are authorized to use. Do not instruct Agentic Actions to circumvent authentication, CAPTCHAs, or access controls.

Credentials and Sensitive Information

Knetc strongly recommends that you authenticate to Third-Party Platforms exclusively through OAuth or platform-issued API tokens, which can be granted via Knetc’s integrations menu and revoked by you at any time.

  • You must not provide passwords, banking credentials, payment card numbers, social security numbers, government identifiers, or other highly sensitive credentials directly into agent conversations or task instructions.
  • If you provide credentials in violation of the prior sentence, you authorize Knetc to refuse the task, revoke the credentials from active session memory, and decline to retain them. Knetc disclaims all liability for losses arising from your unauthorized provision of credentials.
  • Knetc does not store passwords. OAuth tokens issued via Knetc’s integrations are stored encrypted (AES-256-GCM) per the Privacy Policy and are scoped to the specific Third-Party Platform you connect.

Excluded Platforms and High-Risk Tasks

Agentic Actions are not permitted to autonomously interact with the following categories of platforms, services, or task types (collectively, “Excluded Activities”) without elevated user confirmation specific to that task:

  • Banking, brokerage, payment processing, cryptocurrency, or other financial transaction platforms
  • Healthcare provider portals, electronic health record systems, prescription services, or insurance claim systems
  • Court filing systems, government benefits portals, immigration systems, or other legal/regulatory filing platforms
  • Voting registration or election-related systems
  • Platforms used by minors under 18 (regardless of whether the user is themselves a minor)
  • Any platform Knetc has placed on its Excluded Platforms list, available on the knetc.team support site or in-product

Knetc reserves the right to expand the list of Excluded Activities at any time. Even where elevated confirmation is offered, Knetc may decline a task if Knetc reasonably believes execution poses an unacceptable safety, legal, or reputational risk.

Pre-Execution Disclosure

Before you initiate an Agentic Action, the Service will display a disclosure substantially in the following form:

“AI agents may make errors. Review all outputs before acting on them. Knetc is not liable for outcomes of autonomous task execution. By proceeding, you confirm you have the right to instruct this action and the right to access any third-party platform involved.”

By proceeding past this disclosure, you affirmatively consent to the Agentic Action and acknowledge the limitations stated in this Addendum and the Main Terms.

No Warranty for Agentic Outcomes

AGENTIC ACTIONS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND. KNETC DOES NOT WARRANT THAT:

  • Agentic Actions will achieve the outcome you intend
  • Agentic Actions will execute without error, omission, or unintended action
  • Agentic Actions will comply with the terms of every Third-Party Platform involved
  • Outputs of Agentic Actions are accurate, complete, lawful, or fit for any particular use
  • Outputs of Agentic Actions are free of third-party intellectual property infringement

Limitation of Liability for Agentic Actions

The limitation of liability provisions in Section 11 of the Main Terms apply in full to Agentic Actions. In addition, and without expanding Knetc’s liability beyond the cap stated in Section 11:

KNETC EXPRESSLY DISCLAIMS LIABILITY FOR THE FOLLOWING CATEGORIES OF DAMAGES ARISING FROM AGENTIC ACTIONS:

  • Loss, deletion, modification, or corruption of your data, files, documents, accounts, or business records as a result of Agentic Actions you instructed
  • Charges, fees, fines, penalties, or financial transactions executed or triggered by Agentic Actions, including but not limited to subscription purchases, payment-method captures, account suspensions, or platform-imposed fees
  • Account suspension, termination, lockout, or banning by a Third-Party Platform as a result of automated access initiated through Agentic Actions
  • Damages arising from communications, postings, submissions, or other public-facing actions executed by Agentic Actions
  • Damages arising from any Excluded Activity, regardless of whether elevated confirmation was given

Indemnification

In addition to the indemnification obligations in Section 12 of the Main Terms, you agree to indemnify, defend, and hold harmless Knetc LLC and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, fines, penalties, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Any Agentic Action you instructed, including any unintended outcome of that action
  • Any violation of a Third-Party Platform’s terms of service, robots.txt, or access controls executed pursuant to your instruction
  • Any claim by a Third-Party Platform or its users arising from your use of Agentic Actions to access that platform
  • Any data, credentials, or sensitive information you provided to an Agentic Action in violation of Section A3
  • Any Excluded Activity you instructed regardless of platform classification

Output Ownership

Subject to underlying intellectual property rights you do not own, you own the outputs generated by Agentic Actions you instruct (“Agentic Outputs”). Knetc disclaims any ownership claim to Agentic Outputs except for: (a) Knetc’s underlying platform, agent personas, models, and orchestration code; and (b) any Knetc-provided templates, workflows, or assets incorporated into the output.

You represent and warrant that any input you provide to Agentic Actions, and any Third-Party Platform content the Agentic Action interacts with at your direction, you have the right to use, copy, transmit, and have processed by an AI agent for the purpose of generating the Agentic Output.

Logging and Auditability

For safety, debugging, and regulatory readiness, Knetc logs metadata about Agentic Actions, including: timestamps, agent identifier, target platform (where applicable), tool calls, step counts, success/failure status, and error messages. Where technically feasible and consistent with the Privacy Policy, Knetc may also retain screenshots or partial action logs from desktop-use sessions for a limited retention period (currently 30 days). Knetc does not retain credentials or full content of sensitive form submissions in these logs.

Tier-Based Usage and Free-Tier Limits

Agentic Actions are subject to per-tier usage limits disclosed on the Knetc pricing page. Free-tier limits are visible at signup and are not retroactive: usage caps in effect at the time of subscription apply. Knetc may modify free-tier and paid-tier limits prospectively with 30 days’ notice to existing subscribers, except for limits modified to address security or platform-stability issues, which may be modified without prior notice.

Termination of Agentic Access

Knetc may suspend or terminate your access to Agentic Actions immediately and without prior notice if: (a) Knetc reasonably believes your use poses a security, legal, or platform-stability risk; (b) a Third-Party Platform has notified Knetc of unauthorized access traceable to your account; (c) you have violated this Addendum or the Main Terms; or (d) law enforcement, court order, or regulatory authority requires it. Termination of Agentic access does not, by itself, terminate your subscription to the broader Service.

This Addendum is part of the binding agreement between you and Knetc LLC. By using any Agentic Action after the Effective Date above, you agree to be bound by this Addendum.
